These Terms & Conditions (“Terms”) apply to your use of overthefold.com (the “Site”), operated by Over the Fold, LLC (“Over the Fold,” “we,” “us”), and to text messages you agree to receive from us. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Our services and written agreements

The Site describes the website, search, lead generation and CRM services we offer. That description is general information, not an offer or a contract. Every project is governed by a separate written proposal or agreement. If anything on the Site conflicts with a signed agreement, the agreement controls.

2. Pricing

Prices shown on the Site are provided in good faith and may change without notice. The price for your project is the one confirmed in your written proposal or agreement. Advertising budgets, third-party software and other pass-through costs are separate unless your agreement says otherwise.

3. No guaranteed results

We work hard to grow our clients’ visibility and leads, but search rankings, AI search results, advertising performance, leads and revenue depend on many things outside our control, including search engines, platforms, competitors and your market. We do not guarantee any specific ranking, traffic, number of leads or financial result. Case studies, statistics and testimonials describe the experience of specific clients and are not a promise that you will get the same results.

4. Free audits and resources

Free website audits, checklists, articles and other resources are general information. They are not legal, financial or professional advice for your specific situation, and requesting one does not create an obligation for you or for us.

5. Using the Site

You agree to use the Site lawfully. You agree not to:

• submit false information, or someone else’s information without their permission
• try to access admin areas, accounts or systems you are not authorized to use
• upload or send malicious code or spam, or do anything that interferes with the Site
• scrape, copy or republish the Site’s content for commercial use without our written permission

6. Intellectual property

The Site’s design, text, graphics, code, and the Over the Fold name and logo belong to Over the Fold, LLC or its licensors and are protected by copyright and trademark law. Client names, logos and work samples are the property of their respective owners and are shown to illustrate work we have done. You may view the Site and share links to it, but you may not copy or reuse its content without our written permission. Ownership of the work we create for clients is set out in each client’s agreement.

7. Text message (SMS) terms

If you provide your mobile number and opt in, you agree to receive text messages from Over the Fold about your inquiry, appointments, projects and our services. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe at any time; you will receive one final message confirming it. Reply HELP for help, or contact us at dioni@overthefold.com or (201) 340-9109. Agreeing to receive text messages is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. Our Privacy Policy explains how we handle your information; we do not share mobile numbers or text messaging consent with third parties for marketing.

8. Third-party links and tools

The Site links to and embeds third-party websites and tools, such as our form and scheduling provider, review platforms, video players and client websites. We are not responsible for their content, availability or practices, and your use of them is subject to their own terms.

9. Disclaimer

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Site will be uninterrupted, error-free or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by law, Over the Fold, LLC and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Site or its content. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars. Liability for client services is governed by the applicable client agreement.

11. Indemnification

You agree to indemnify and hold harmless Over the Fold, LLC from claims, losses and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any dispute relating to the Site will be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. The effective date at the top shows the latest version. If you keep using the Site after a change, you accept the updated Terms.

14. General

If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a provision, that is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Site.
